These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and AIDispatchSystem ("AIDispatchSystem," "we," "us," or "our"), governing your access to and use of our website, voice AI platform, AI receptionist services, 24/7 AI answering services, APIs, integrations, and related offerings (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately. AIDispatchSystem is a United States–based company operating under the laws of the State of Delaware.

AGREEMENT TO TERMS

By accessing the Services, you confirm that you have read, understood, and agreed to these Terms. We reserve the right to modify these Terms at any time. Updates will be reflected by the "Last Updated" date above. Continued use of the Services after changes constitutes acceptance. The Services are intended for users who are at least 18 years old. Use by minors is prohibited.

DESCRIPTION OF SERVICES

AIDispatchSystem provides AI-powered voice automation services, including but not limited to:

• AI receptionist services
• 24/7 AI answering services
• Voice AI for inbound and outbound calls
• Call routing, transfers, recording, and summaries
• Workflow automation and system integrations

You acknowledge that AIDispatchSystem provides software and automation tools and does not act as a licensed call center, dispatcher, emergency service provider, broker, carrier, or legal representative.

USER REPRESENTATIONS

By using the Services, you represent and warrant that:

• You have the legal authority to enter into these Terms
• You will use the Services only for lawful purposes
• You will comply with all applicable federal, state, and local laws
• You will not use the Services for fraudulent, abusive, or deceptive activities
• You have obtained all required consents for call recording, monitoring, and automated communications

PROHIBITED USES

You may not use the Services to:

• Violate TCPA, FCC, FTC, or other communications laws
• Place illegal robocalls or unauthorized automated messages
• Record calls without proper notice or consent
• Harass, threaten, or deceive call recipients
• Interfere with or disrupt system security
• Reverse engineer or copy platform software
• Use the Services to compete directly with AIDispatchSystem

We reserve the right to suspend or terminate accounts that violate these restrictions.

INTELLECTUAL PROPERTY

All software, technology, models, workflows, designs, trademarks, and content provided by AIDispatchSystem are owned by or licensed to AIDispatchSystem and protected under U.S. intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your internal business operations.

USER CONTENT AND CALL DATA

You retain ownership of your data, call content, and business information submitted through the Services.

By using the Services, you grant AIDispatchSystem permission to process call audio, transcripts, metadata, and workflow data solely for the purpose of providing and improving the Services.

You are responsible for ensuring you have legal rights to all data you submit.

CALL RECORDING AND CONSENT

You acknowledge that the Services may record, transcribe, or analyze calls. You are solely responsible for providing required disclosures and obtaining consent from call participants as required by applicable law.

AIDispatchSystem disclaims any liability arising from your failure to comply with call recording or communication consent laws.

THIRD-PARTY SERVICES

The Services may integrate with third-party platforms such as CRMs, telephony providers, or automation tools. AIDispatchSystem is not responsible for third-party services, availability, or data practices.

Use of third-party services is subject to their respective terms.

FEES AND PAYMENTS

Paid plans are billed in advance according to your selected subscription. Fees are non-refundable unless required by law or explicitly stated.

We may suspend Services for non-payment.

TERM AND TERMINATION

These Terms remain effective while you use the Services.

We may suspend or terminate access at any time for violations of these Terms, misuse of the Services, or legal risk. Upon termination, your license to use the Services ends immediately.

DISCLAIMER

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AIDispatchSystem DOES NOT GUARANTEE UNINTERRUPTED SERVICE, ERROR-FREE OPERATION, OR SPECIFIC BUSINESS OUTCOMES.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIDispatchSystem SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO AIDispatchSystem IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

INDEMNIFICATION

You agree to indemnify and hold harmless AIDispatchSystem from any claims, damages, losses, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your failure to comply with communications or privacy laws
• Content or data you provide

GOVERNING LAW

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

DISPUTE RESOLUTION

Any dispute shall first be resolved through informal negotiation. If unresolved, disputes shall be settled through binding arbitration administered by the American Arbitration Association in Delaware.

You waive the right to participate in class actions or jury trials.

These Terms constitute the entire agreement between you and AIDispatchSystem. If any provision is found unenforceable, the remaining provisions remain in effect.
